Agent Confidentiality and Non-Disclosure Agreement

I/we understand that my/our access to data, information, and records (all hereinafter referred to as Information) maintained in the manual and automated information and records systems of Metropol Corporation and its subsidiaries (all hereinafter referred to as Information Systems) is limited to my/our need for the Information in the performance of my/our agency duties.

By my/our signature below, I/we affirm that I/we have been advised of, understand, and agree to the following terms and conditions of my/our access to Information contained in Information Systems.

  1. I/we will use my/our authorized access to Information Systems only in the performance of the responsibilities of my/our position as an agent of Metropol.
  2. I/we will comply with all controls established by Metropol regarding the use of Information maintained within Information Systems.
  3. I/we agree that I/we will at no time, during or after the term of agency, use for my/our own benefit or the benefit of others, any such confidential information.
  4. I/we will not disclose this Information to unauthorized persons without the appropriate consent of the Information owner except as permitted under applicable Metropol policy and/or laws of Kenya. I/we understand and agree that my/our obligation to avoid such disclosure will continue even after the end of the agency arrangement with Metropol.
  5. I/we will exercise due care to protect Information against accidental or unauthorized access, modifications, disclosures, or destruction.
  6. When discussing Information within the work environment, I/we will exercise care to keep the conversation private and not overheard by others who are not authorized to have access to such Information.
  7. I/we understand that any violation of this Agreement or other Metropol policies related to the appropriate release or disclosure of Information may result in one or more sanctions including immediate termination of my access to Information Systems, disciplinary action up to and including termination of the agency arrangement, criminal penalties, or civil liability.
  8. I/we understand that if any part of this agreement is adjudged invalid, illegal or unenforceable, the remaining parts shall not be affected and shall remain in full force and effect.

I/we affirm that I/we have been given the opportunity to review Acceptable Use Policy, and other Metropol policies referenced therein.
